This Agreement is legally binding between you (“User”, “you” or “your”) and TWP LLC (doing business as “Wholistic Pet Organics”, “we”, “us” or “our”). If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access or use the Website and Services. By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Wholistic Pet Organics, even though it is electronic and not physically signed by you, and it governs your use of the Website and Services.
Accounts and Membership
If you create an account on the Website, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. Wholesale and Reseller Accounts
Specific customers may purchase products from Wholistic Pet Organics for resale through brick-and-mortar locations, online stores, or other sales channels. Wholesale and reseller accounts may be subject to additional written policies and requirements issued by Wholistic Pet Organics, including but not limited to its Minimum Advertised Price Policy and any separate reseller or dealer terms. By purchasing products for resale, you agree to comply with all such additional policies and requirements, as they may be updated from time to time.
Approval of any wholesale or reseller account is at the sole discretion of Wholistic Pet Organics. We may refuse, suspend, or terminate wholesale or reseller status at any time if we determine that you have violated this Agreement, any applicable policy, or any separate agreement between you and Wholistic Pet Organics.
User Content
We do not own any data, information, or material (collectively, “Content”) that you submit on the Website in the course of using the Services. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Website submitted or created using our Services by you. You grant Wholistic Pet Organics a worldwide, royalty-free, perpetual, irrevocable, and transferable license to use, reproduce, adapt, modify, publish, translate, create derivative works from, distribute, display, and perform such content in any media now known or later developed, for any lawful purpose, including marketing, educational, and promotional purposes.
We may, but are not obligated to, monitor, edit, refuse, or remove user submissions that we determine, in our sole discretion, to be unlawful, misleading, offensive, infringing, or otherwise objectionable, or that violate this Agreement or any of our policies. This includes submissions that contain specific health or disease-related claims, statements that suggest our products diagnose, treat, cure, or prevent any disease, or other claims that are inconsistent with our labeling, advertising, or regulatory obligations. We may also decline to post or may modify a review in order to remove such claims while preserving the remainder of the review where appropriate.
User reviews and testimonials reflect the views of the individual authors and do not constitute medical or veterinary advice and do not necessarily reflect the views of Wholistic Pet Organics. Billing and Payments
You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Sensitive and private data exchange happens over an SSL secured communication channel and is encrypted and protected with digital signatures, and the Website and Services are also in compliance with PCI vulnerability standards to create as secure of an environment as possible for Users. Scans for malware are performed regularly for additional security and protection. If, in our judgment, your purchase constitutes a high-risk transaction, we may require you to provide a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. Wholistic Pet Organics reserves the right to modify, suspend, or cancel any promotion or discount at any time, including after an order has been placed, if we determine that the promotion has been misused, applied in error, or is otherwise not in compliance with its terms. In the event of such modification or cancellation, our sole obligation will be, at our discretion, to either cancel the affected order and issue a refund for any amounts paid or to honor the correct non-promotional price.
Subscription and Recurring Orders
If you enroll in any subscription or recurring order program offered by Wholistic Pet Organics through the Website, you authorize us to automatically charge your selected payment method for the recurring amounts associated with your chosen products and delivery schedule until you cancel. Subscription orders may include discounted pricing or other benefits as described at the time you enroll.
Our subscription program is cancel anytime, which means there is no minimum commitment and you may cancel after your first order. To avoid being charged for an upcoming shipment, you must cancel or update your subscription before the order is processed for that shipment. Once a subscription order has been processed, it will ship and be billed as scheduled, and any cancellation will apply to future shipments.
You are responsible for reviewing the details of any subscription program before enrolling, including product selection, price, delivery frequency, and how to change or cancel your subscription. Unless clearly stated otherwise at the time of the offer, any subscription discount applies to each recurring order for as long as the subscription remains active, subject to any pricing changes permitted under this Agreement. Severability

The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in New Hampshire, United States, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
Assignment
You may not assign, resell, sublicense, or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation. Any such assignment or transfer without such consent shall be null and void. We are free to assign any of our rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of our assets or stock or as part of a merger.
Changes and Amendments
